- Where the Company amends these Terms, it will announce the effective date and the reason for the amendment at least 7 days before the effective date. Where an amendment is unfavourable to members, the Company will announce it at least 30 days in advance and give individual notice by the email address registered by the member.

They are not a contractual commitment or a binding quotation by the Company. Contract terms and fees are determined by the separate agreement under Article 12.
Article 5 (Membership and Accounts)
- A user becomes a member by agreeing to these Terms and the Privacy Policy and completing the sign-up procedure set by the Company.
- Sign-up is completed either with an email address and password or with Google or Kakao social login. Where a user signs up by email, the sign-up is completed only after the user confirms ownership of the email address through the link in the confirmation email sent by the Company.
- Persons under 14 years of age may not register as members.
- The Company may refuse an application, or terminate the agreement afterwards, in any of the following cases.
- The applicant has used another person's name or contact details, or has entered false information.
- The applicant has previously lost membership for breach of these Terms.
- The application is clearly intended to disrupt the normal operation of the Services.
- The application otherwise violates applicable law.
Article 6 (Member Types and Information Provided)
- Members are classified as individual members or business members, and a member selects the type during the onboarding step after sign-up.
- During onboarding a member provides a name and contact details. A business member additionally provides the company name, business registration number, name of the representative and job title.
- Where the information provided by a member is inaccurate, the Company may request correction or restrict use of the customer console.
- A member must update changed information without delay in My Page.
Article 7 (Use of the Customer Console)
- Access to the customer console is granted by the Company on a per-Client basis and is not granted automatically upon membership registration.
- A member with owner rights for a Client may invite members and approve or reject requests to join. Until such approval, the requester is not treated as belonging to the Client.
- Contract, billing, report and project information viewed in the customer console may contain trade secrets of the relevant Client. A member must not disclose or provide such information to any unauthorised third party.
- The Company may adjust or revoke access to the customer console where there is a legitimate reason, such as termination of the agreement, withdrawal of authority or confirmed misuse.
- Rights in the materials a member uploads to the customer console belong to that member or to the Client to which the member belongs, and the Company uses them only to the extent necessary to provide the Services and perform the engagement.
Article 8 (Account Management and User Obligations)
- A member is responsible for managing the account and password and must not allow any third party to use them.
- A member who becomes aware that the account has been stolen or used without authorisation must notify the Company immediately and follow the Company's instructions.

- Reselling or redistributing the Services for commercial purposes without the Company's prior consent.
Article 9 (Withdrawal of Membership and Restriction of Use)
- A member may request withdrawal at any time in My Page. A withdrawal request is processed after review and approval by the Company's staff, and once processing is complete the account and personal data are destroyed without delay in accordance with the Privacy Policy.
- Where a member holding owner rights for a Client withdraws, the Company may request that those rights be transferred so that operation of the customer console is not disrupted.
- Where a member breaches these Terms, the Company may restrict use of the Services or terminate the agreement after prior notice. Where the breach is urgent or serious, the Company may restrict use first and give notice afterwards.
- A member who objects to a restriction or termination may raise the objection at cs@loopon.ai.kr, and the Company will restore use immediately where it finds the objection justified.
Article 10 (Free Tools and Materials)
- The Company provides free tools such as diagnostics and keyword reports, and the results are sent to the email address entered by the user.
- The results of the free tools are reference materials produced from publicly available data and general criteria, and do not guarantee any particular outcome.
- The Company may change the scope of the free tools or discontinue them.
Article 11 (Notifications and Marketing Messages)
- The Company sends emails necessary to operate the Services, such as sign-up confirmations, invitations, password resets and the results of processed requests. Because these messages are essential to providing the Services, they are not subject to opt-out.
- Advertising messages are sent only where a member has separately consented to receive them, and a member may withdraw that consent at any time in My Page.
Article 12 (Relationship with Paid Engagements)
- These Terms govern use of the Services. The scope, fees and schedule of engagements such as cloud & infrastructure, web development (SI), online marketing and AI / AX consulting are governed by the separate agreement (quotation, contract and similar documents) concluded between the Company and the Client.
- Where these Terms and a separate agreement conflict, the separate agreement prevails.
- Contract and billing information shown in the customer console is provided so that the performance of the separate agreement can be reviewed, and does not itself constitute an offer or acceptance of a new agreement.
Article 13 (Intellectual Property)
- Rights in the works published by the Company on the Services (documents, images, software, designs and the like) belong to the Company or to the rightful owner.
- Users may not reproduce, distribute, transmit, publish or create derivative works from materials on the Services without the Company's prior consent.
- Rights in the materials a user uploads to the Services belong to that user, and the Company uses them only to the extent necessary to provide the Services, perform the engagement and handle enquiries.
- Ownership of engagement deliverables is determined by the separate agreement.
Article 14 (Changes to and Suspension of the Services)
- The Company may change the content of the Services and will announce material changes in advance.
- The Company may temporarily suspend the Services in any of the following cases.
- Inspection, replacement or failure of equipment.
- Power failure or communications failure.
- Failure of an external service such as hosting or authentication.
- Force majeure such as a natural disaster.
- Scheduled suspensions are announced in advance. Where advance notice is not possible for unavoidable reasons, the Company may announce the suspension afterwards.

Article 18 (Governing Law and Jurisdiction)
